Algemene voorwaarden

Article 1. Applicability

1.1 These general terms and conditions apply to all offers, orders, and agreements with Lisarde NV, with its registered office at Pijkstraat 77, 8790 Waregem, registered with the Crossroads Bank for Enterprises under number BE 0459 428 932. 1.2 By accepting an offer or placing an order with Lisarde NV, the customer acknowledges and fully accepts these general terms and conditions without reservation. 1.3 Any deviations from these general terms and conditions must be agreed upon in writing. In such cases, all other provisions remain fully applicable.

Article 2. Offers and Agreements

2.1 All offers from Lisarde NV are non-binding and can be withdrawn or amended at any time, including price adjustments due to legal regulations. 2.2 An agreement is only concluded after written confirmation of the order by Lisarde NV. The company reserves the right to refuse orders or impose additional conditions on delivery. If an order is refused, the customer will be notified within ten (10) working days after receipt.

Article 3. Warranty

3.1 The warranty on products is limited to the warranty provided by the manufacturer or supplier. 3.2 Complaints about visible defects must be submitted in writing within two (2) days after receipt of the goods.

Article 4. Delivery

4.1 The delivery times provided by Lisarde NV are indicative and non-binding. Exceeding the delivery time does not entitle the customer to compensation or cancellation of the order. 4.2 The customer has a right of withdrawal of fourteen (14) calendar days, during which the product can be returned without justification. 4.3 In case of damaged or unsealed packages, the customer must refuse the delivery or make a written remark at the time of receipt with the courier service. Lisarde NV is not liable for missing products if the package was not fully sealed.

Article 5. Retention of Ownership

5.1 The delivered goods remain the property of Lisarde NV until the customer has paid all amounts due in full. 5.2 The risk related to the products transfers to the customer at the moment of delivery.

Article 6. Prices and Payments

6.1 All prices are expressed in euros and include VAT unless otherwise stated. Any shipping costs, taxes, or other charges are not included. 6.2 Payment must be made without discount or set-off prior to shipment. 6.3 For bank transfers, the payment date is the date on which the amount is credited to Lisarde NV’s bank account.

Article 7. Complaints and Liability

7.1 The customer must check immediately upon delivery whether the products conform to the agreement. Any defects must be reported in writing or by email within fourteen (14) days. 7.2 If the complaint is justified, Lisarde NV has the right to replace the product or refund its invoice value. 7.3 Returns are only accepted if the product is undamaged and the return costs are borne by the customer.

Article 8. Orders and Communication

8.1 Lisarde NV is not liable for delays, data loss, or communication errors caused by the use of the internet or other communication means, except in cases of intent or gross negligence.

Article 9. Force Majeure

9.1 In case of force majeure, Lisarde NV has the right to suspend the execution of an order or terminate the agreement without judicial intervention, without liability for damages to the customer. 9.2 Force majeure includes any circumstance beyond the control of Lisarde NV that reasonably prevents the fulfillment of obligations.

Article 10. Miscellaneous Provisions

10.1 Any address changes communicated by the customer will apply to all shipments unless otherwise agreed. 10.2 Any deviation from these general terms and conditions does not affect Lisarde NV’s right to enforce strict compliance in the future. 10.3 If any provision of these terms is declared invalid, the remainder of the agreement remains unaffected, and the relevant provision will be replaced with a valid, comparable provision. 10.4 Lisarde NV reserves the right to engage third parties for the execution of orders.

Article 11. Applicable Law and Competent Court

11.1 Belgian law exclusively applies to these general terms and conditions and all agreements with Lisarde NV. 11.2 Any disputes will be exclusively settled by the competent courts.
